1. About These Terms

These Terms and Conditions ("Terms") govern your use of the Leonary platform, website (aorexis.com, leonary.co.ke), mobile application, and all related services (collectively, the "Platform") operated by Leonary Limited("Leonary", "we", "us", or "our"), a company registered in Kenya.

By creating an account, placing an order, accepting a delivery job, or otherwise using the Platform you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Definitions

• Client — any individual or business that creates a delivery job on the Platform.
• Driver — a registered independent courier who accepts and fulfils delivery jobs.
• Lorry Owner — a registered vehicle/fleet owner who assigns jobs to their drivers.
• Job — a delivery order created by a Client and fulfilled by a Driver.
• Recipient — the person at the delivery address who receives the parcel and signs on the Driver's device.
• Business Partner — a company or individual with a Business Leo account that manages shipments at scale.

3. Account Registration

You must be at least 18 years old to register. You agree to provide accurate, current, and complete information during registration and to update it promptly if it changes. You are responsible for all activity that occurs under your account.

Leonary may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, provided false information, or engaged in fraudulent or harmful behaviour.

4. The Delivery Service

Leonary provides a technology platform that connects Clients with independent Drivers. Leonary is not itself a carrier or logistics company. Drivers are independent contractors, not employees of Leonary.

When a Job reaches the delivery stage, the Driver will present their device to the Recipient, who will sign and enter their name. This signature constitutes proof of delivery. The Recipient does not need a Leonary account.

5. Payments and Pricing

Job prices are calculated based on distance, weight, vehicle type, and other factors displayed at checkout. All prices are in Kenya Shillings (KES) unless stated otherwise.

Payment must be made in full before a Job enters the accepted state. Leonary uses secure payment processors. Leonary does not store full card numbers.

Driver earnings are disbursed after job completion and are subject to deductions only where there is a confirmed dispute involving missing items or damaged goods.

6. Prohibited Uses

You may not use the Platform to:

• Transport illegal, hazardous, or prohibited goods.
• Provide false delivery information.
• Impersonate another person or entity.
• Reverse-engineer or attempt to extract source code from the Platform.
• Use automated tools (bots, scrapers) to access the Platform without written consent.

7. Liability Limitation

To the maximum extent permitted by law, Leonary's total liability for any claim arising out of or related to the Platform is limited to the amount paid by you for the specific Job giving rise to the claim.

Leonary is not liable for indirect, incidental, punitive, or consequential damages, including loss of profit or data, even if advised of the possibility of such damages.

8. Intellectual Property

All content, trademarks, logos, and software on the Platform are the property of Leonary Limited or its licensors. You may not reproduce, distribute, or create derivative works without prior written permission.

9. Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any dispute shall be referred to the courts of Kenya, and you consent to the exclusive jurisdiction of those courts.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you by email and by posting a notice on the Platform. Continued use after the effective date constitutes acceptance of the revised Terms.
